Roberto Palenzuela

Senior Founding Partner and CEO, ClareMedica Health Partners

Roberto Palenzuela is the senior founding partner and chief executive officer of ClareMedica Health Partners, a premier primary health care organization dedicated to delivering high quality care to Medicare and Medicaid eligible beneficiaries in the State of Florida.   Based on the Patient Centered Medical Home concept of care, ClareMedica specializes in optimizing the patient experience, delivering better patient outcomes, and generating substantial operating efficiencies in the health care delivery model.

As an attorney, Palenzuela has been providing legal insight and regulatory guidance to both private and public companies in the health care industry for over 25 years.  Prior to launching ClareMedica, he served in the capacity of chief operating officer for Florida based Access Medical Acquisition Inc., d/b/a Community Medical Group, where he was responsible for all operational and regulatory matters of this Medicaid and Medicare oriented health care services company and facilitated the sale of the company to the private equity firm, Nautic Partners LLC.

Previously, Palenzuela was the general counsel, corporate secretary, and chief compliance officer for Metropolitan Health Networks, Inc., a Florida based, Medicare oriented health care company listed on the New York Stock Exchange (NYSE:MDF). He provided strategic business and legal advice to the company’s board of directors and senior executive management team.  This included the oversight of the corporation’s human resources policy and procedure implementation, risk management, and government relation’s functions.  His responsibilities also included all due diligence activities for acquisitions, mergers, financing and other transactions involving physician practices, new business opportunities, company compliance with SEC regulations, and all federal and state licensing and qualifications matters.  In December 2012, Palenzuela successfully coordinated the negotiation, documentation and closing of Humana Inc.’s acquisition of Metropolitan Health Networks, Inc. in a transaction valued at $850M.

Throughout his career, Palenzuela has held senior level executive positions at numerous respected health care organizations.  Prior to his tenure at Metropolitan, he operated in the capacity of general counsel, corporate secretary and chief compliance officer for Continucare Corporation, also a publicly traded health care services company.  He was founding director, corporate secretary and general counsel for Community Health Plan of the Rockies Inc., general counsel and corporate secretary for Universal Rehabilitation Centers of America Inc., and executive vice president, general counsel and corporate secretary for Trident Medical Concepts Inc. of Deerfield Beach, Florida.

In private practice, Palenzuela was a founding partner of Miami based Adams, Gallinar, Iglesias & Palenzuela, where he represented clients on issues involving corporate law and finance, venture capital investments, debt financing, securities law, private placements, mergers and acquisitions and general corporate and partnership matters.  In addition, he served on the founding Board of Directors of CareCloud Corporation, a web-based software and services provider to the health care industry and also serves on the Board of Directors of the National Parkinson Foundation and Christopher Columbus High School.  He is a member of the Citizens Board at the University of Miami.

Palenzuela was admitted to the United States Court of Appeals, District of Columbia Circuit, United States Court of International Trade, and United States Tax Court in 1990, to the District of Columbia Bar in 1989, and the Florida Bar in 1988.  He graduated from the University of Miami School of Law - Juris Doctor, and holds a degree in business administration in international finance, also from the University of Miami.  He is a member of the American Health Lawyers Association, American Corporate Counsel Association, American Society of Corporate Secretaries, and the National Association of Corporate Directors.
